Main area of work is corporate, commercial, civil, commercial and corporate litigation, mergers and acquisitions, negotiation and drafting of contracts, advising on regulatory and legal issues, conveyancing and real property matters, infrastructure projects, advising and structuring financing transactions, company matters and cross-border transactions. Work involved is contentious and non-contentious.
Recent Notable Engagements:
- Acting as legal counsel in reverse merger of an unlisted company into a listed company.
- Advised a leading steel and iron manufacturing company in connection with their Initial Public Offering.
- Advising on corporate restructuring of group companies, including demerger of assets and properties.
- Acting as legal counsel for EPC Contractor in respect of negotiation and drafting of EPC Contracts, including in power and gas sectors.
- Acting as legal counsel for construction companies in multiple contractual disputes, including EPC and O&M Contracts.
- Advised in relation to the acquisition of shareholding and majority control of a sugar manufacturing company. The work entailed drafting and negotiating share purchase agreements, sale deeds, drafting ancillary documents etc.
- Acted as legal counsel for acquisition of assets (land, building and equipment) of multiple sugar manufacturing companies, including negotiation and drafting of share and asset purchase and other transaction agreements.
- Acted as legal counsel for acquisition of of assets (land, building and equipment) of multiple textile manufacturing companies, including negotiation and drafting of share and asset purchase and other transaction agreements.
- Acted as legal counsel for acquisition of assets (land, building and equipment) of a shoe manufacturing unit, including negotiation and drafting of share and asset purchase and other transaction agreements.
- Advised power producer in respect of establishment and operation of 660x2 MW imported coal power project at Port Qasim, Karachi.
- Acting as legal counsel to financial advisors for privatization of Pakistan Steel Mills.
- Advised on various joint venture transactions in the power and industrial sectors, including negotiation and drafting of joint venture and shareholders agreements.
- Advised various clients from time to time on acquisition of property. Work includes due diligence and conveyancing of property.
- Advising international law firms and their clients in relation to Pakistani laws and regulations.
- Advised and prepared various documents in respect of establishment and operation of a state-of-the-art retail and shopping center.
